Catalent deal closes; Novo Nordisk takes over three sterile fill-finish plants

Novo Holdings closed its $16.5 billion purchase of Catalent on Dec. 18, 2024, handing Novo Nordisk three pen-filling plants meant to ease Wegovy and Ozempic supply.

Novo Holdings, the controlling shareholder of Novo Nordisk, completed its all-cash acquisition of contract manufacturer Catalent on Dec. 18, 2024, at a total enterprise value of about $16.5 billion [1][3]. As part of the transaction, Novo Holdings agreed to sell three of Catalent's nearly 50 global sites to Novo Nordisk: Anagni, Italy; Bloomington, Indiana; and Brussels, Belgium [1].

All three are "fill-finish" sites, the last step in drug manufacturing where the finished medicine is put into vials, cartridges or injection pens. Reuters reported that Novo Nordisk will fully use the sites to fill its own injection pens as it tries to boost supplies of Wegovy, its semaglutide obesity drug [3].

A deal built around GLP-1 supply

Novo Holdings agreed to buy Catalent in February 2024 [3]. The deal drew organized opposition: in October, several U.S. consumer groups and two large labor unions asked the Federal Trade Commission to block it [3]. The FTC did not challenge the transaction, and European antitrust regulators cleared it earlier in December after concluding there were enough competing alternatives in the market [3]. Novo Holdings and Catalent said on Dec. 14 that all regulatory conditions to close had been met [3].

Catalent remains a separate company under Novo Holdings ownership, with Alessandro Maselli staying on as president and chief executive [1]. Novo Holdings said Catalent helps its biopharma partners launch more than 150 new products a year and has assisted in 50% of all FDA approvals over the past decade [1]. Novo Holdings is wholly owned by the Novo Nordisk Foundation and had total assets of EUR 149 billion as of year-end 2023 [1].

The price shows up plainly in Novo Nordisk's books. The company reported DKK 82,163 million in cash used for acquisition of businesses in 2024, compared with zero in 2023 [2]. That outflow, combined with DKK 47,164 million spent on property, plant and equipment, pushed Novo Nordisk's free cash flow to negative DKK 14,707 million for 2024, down from a positive DKK 68,326 million in 2023 [2]. Free cash flow returned to positive DKK 28,295 million in 2025 [2]. For context, Novo Nordisk's 2024 net sales were DKK 290,403 million, up 25% from the prior year [2].

The number of people employed at the three transferred sites is not stated in these sources, and neither company disclosed how much additional pen-filling capacity the plants would add or when that capacity would come online.

Why it matters for patients

For most of 2022 through 2024, the limiting factor on GLP-1 access in the United States was not the drug substance alone but the ability to fill and package injection pens. Buying finished plants, rather than building them, is the fastest route to more pens. Reuters framed the purchase directly as an effort to boost Wegovy supply [3]. Wegovy launched in the U.S. in 2021 and in 15 other countries since then [3].

More fill-finish capacity can translate over time into fewer pharmacy backorders and fewer dose strengths going missing from shelves, though none of the sources give a date when patients would notice a difference. Analysts cited by Reuters estimate the global obesity drug market could be worth as much as $150 billion a year within the next decade, and rival Eli Lilly, maker of tirzepatide's Zepbound, has been expanding production as well [3].

There is also a competitive angle patients rarely see. Catalent fills products for many drugmakers, which is why consumer groups and unions objected to a GLP-1 leader's parent company taking it over [3]. Regulators on both sides of the Atlantic concluded rivals had other options [3].
